Default GA-7N400 Pro2 goes into suspend-mode on restart, power-on, and during XP use

My board keeps going into suspend mode, and won't come out. I have to
restart the computer. Sometimes I have to press restart multiple
times to get system to restart. During WinXP use, the system normally
does this when I try to play DVDs, sometimes when I use Media Player
visualizations, when I tried to install Photoshop, installing the
webcam, and zooming in/out of things. This can also happen when
switching to GigaRAID detection screen, entering or exiting the BIOS,
or directly on system power-on.

What's going on? Someone please help!

Three things to check:

-"Top Performance" setting in the BIOS: If it's on, turn it off. My
Gigabyte board exhibited all sorts of weirdness until I discovered this.

-Heatsink: Take it off completely and remount it. It could be making
intermittent contact that is causing intermittent overheating.

-RAM. Run MemTest86 and see if you have any bad memory module(s).
