Default GeForce 2 64MB Ultra VS. GeForce4 MX 420 64 MB

I have a P3 1Ghz with 256 ram and a GeForce2 Ultra 64. Everything works
fine...can even play BF1942 without a problem. However....

Am about to receive (for work) a Dell 8300 P4 2.8Ghz with a Dell OEM
GeForce4 MX 420 64 MB that I will replace with an FX5600. So...will my old
trusty P3 benefit by replacing the GeForce 2 Ultra with the GeForce4 MX 420?

Any advice appreciated.....
