Default A7N8X - no POST

I have the following configuration:

MB: ASUS A7N8X-Deluxe (Rev 2.0 Bios C1006)
CPU: AMD 2500+/333 (barton core)
RAM: GEIL PC-3200 (400Mhz) 512MB (qty of 2 for a total of 1024MB)
AGP: AOPEN GeForce 4 MX 440 8X 64MB
CASE: Antec Server Tower SLK1600
HD: Maxtor 6Y080MO SATA 80GB

OS: Windows 2000 Server

I bought all of the above compenets from NewEgg.com in June, 2003.
The system has run fine with zero flaws until today. After installing
the latest Windows Media 9 service pack, I rebooted the machine. It
never came back up. I have done the following:

1) Swapped the memory around...still no POST
2) Cleared CMOS...I get the audible "System Failed Memory Test"
3) Removed AGP video card...I get three beeps and an audible "System
Failed Memory Test"
4) Took excat make/model of memory from an alternate machine (running
ASUS P4P800-Deluxe) and installed into the A7N8X...I get the audible
"System Failed Memory Test"
5) Took the "bad" memory and installed it into my alternate ASUS
P4P800-Delux...no problems, the P4P800 boots fine
6) Unplugged all iEEE 1394 and USB cables from the motherboard...I get
the audible "System Failed Memory Test"

Could the CPU be bad? I cannot get to a POST screen to make any
changes in the BIOS. Any help would be appreciated.
