What Processor?

You can ONLY use an early P4 that had used a 400 MHz FSB. Intel has not
manufactured any of those for several years. You'll have to try to find a
used one on eBay or somewhere.
May be a good time...

Dead CPU?

CPU's almost NEVER fail unless they are really overclocked. Most likely the
motherboard has failed. They routinely fail.

Apparently, under the terms of their "warranty", PCUSA requires that for
each repair of the system you ship the unit back to them. Gets expensive

With the high prices of DDR3 and the fact that you would be limited to only
2 GB of it, AND the fact that DDR3 is not in common use yet, I would
definitely sstick with DDR2.

Apparently you did not realize that when you change the motherboard used
with a harddrive containing Windows as the OS, you HAVE to reformat the
harddrive and do a fresh install of the OS in order...
